  1.                      PSL's Shareware Registration Service

  3.     The PSL provides a service to users and programmers of shareware by
  4.     allowing users to call our 800 number and use their credit cards to
  5.     more easily register the shareware programs. Even if you already have
  6.     an 800 number and take credit cards, you can get some benefit from the
  7.     fact that the user is more likely to register if he can do so conven-
  8.     iently while ordering other items. Everybody likes one-stop shopping.
  9.  
  10.     Please understand that this service is intended only to enhance your
  11.     registrations.  We don't wish to mislead anyone who is unhappy with
  12.     their present level of registrations to think that our service is
  13.     suddenly going to turn things around for them.  But if you do have a
  14.     successful program, you should be aware that at PSL we find that about
  15.     75% of our customers prefer to pay by credit card.

  19.                      PSL's Registration Service Agreement

  22.     PSL's Obligations:
  23.     -----------------
  24.     PSL will process orders on a non-exclusive basis for the Programmer for
  25.     fully-licensed versions of the Programmer's product. PSL will either
  26.     ship the product, if on hand, or will relay the customer information to
  27.     the Programmer or to the Programmer's designated agent via CIS Email or
  28.     telephone the same day an order is received.
  29.  
  30.     Once a month, PSL will write a check to the author for orders received
  31.     during the period less an order processing fee of $5 per order, a fee of
  32.     4% of the total amount charged to the credit card (to cover the credit
  33.     card merchant's fee), and shipping expense, if PSL ships the product.
  34.     (You have the option of letting the shipping expense come out of the
  35.     fee you charge or of letting us charge the customer our standard $4 S&H.)

  37.     If PSL is not shipping the product, PSL has the option of withholding
  38.     payment due to the Programmer for up to two weeks past the end of the
  39.     month for orders received near the end of the month to make sure that
  40.     the customer receives the order from the Programmer.

  43.     Programmer's Obligations:
  44.     ------------------------
  45.     The Programmer will either provide PSL with products to ship or will
  46.     ship the product within 48 hours of being sent notice of the order by
  47.     PSL.  The Programmer assumes all responsibility for product warranty and
  48.     user satisfaction and for any refunds.  If PSL ships an order or if PSL
  49.     sends payment for an order to the Programmer and payment by the user
  50.     subsequently fails in any way, the Programmer will reimburse PSL or PSL
  51.     may withhold the amount from payment for subsequent registrations.  This
  52.     is necessary because PSL is only making enough on the normal transaction
  53.     to cover the cost of processing the order, not to absorb such losses.

  55.     To inform users about the availability of this service, the programmer
  56.     will add the following information to his docs:

  58.     "You can order by sending check, cash or money order to <your address>
  59.     or with MC, Visa, or American Express from the Public (software)
  60.     Library (PsL) by calling 1-800-2424-PSL or FAXing 1-713-524-6398. These
  61.     numbers are for orders only. For questions about credit card orders,
  62.     call PsL at 713-524-6394. For product information, technical support,
  63.     or quotes on volume discounts, dealer pricing, site licenses, etc,
  64.     call <your number or address>. You can also mail credit card orders to
  65.     PsL at P.O.Box 35705, Houston, TX 77235-5705."

  67.     This agreement can be canceled by either party at any time, except that
  68.     the Programmer must ship any orders which PSL has processed as of date
  69.     of cancellation and PSL must pay the Programmer for orders received and
  70.     shipped.

  95.          To reduce confusion in our ads and listings, we will charge

  98.          factor that into your registration fee or instruct us to
  99.          not list the price and to refer users to your documentation.

  112.          day, or you must have a phone number which PSL can call.

  114.          If you wish for PSL to ship the product, you must provide PSL
  115.          with products to ship.  (Generally, three should be enough to
  116.          start.  We can call you when we sell out of those.)

  118.          If all you send registered users is a disk and cover letter,
  119.          you may wish to let us make the disk copies for you, in which
  120.          case you can provide labels, or we can print labels using a
  121.          laser printer and a font program.

  134. IMPORTANT NOTICE:

  136. We can only process orders received by us directly from the customer.
  137. The banks do not allow us to process orders which you have taken from
  138.   the customer.
  139. Technically, we are selling the product on consignment and you are
  140.   drop-shipping it for us directly to the customer (except for those
  141.   that we ship).

  144. USE OF PSL'S 800 NUMBER:
  145.  
  146. Several authors have listed PSL's 800 number in ads and in magazine reviews
  147. without identifying it as being the PSL's number and without saying that it is
  148. for orders only.
  149.  
  150. This only leads to confusion and disappointment (as well as unnecessary cost
  151. to PSL) when people call us expecting to be able to get detailed technical
  152. information about the products from the author and we are unable to help them.

  154. Any use of the PSL's 800 number must be accompanied by the explanation that it
  155. is PSL's number and is for ordering only.
